Terms of Service
The commercial and platform rules that govern Opernox access and use.
1. Agreement to these Terms
These Terms of Service govern access to and use of Opernox websites, portals, software, automations, infrastructure, onboarding, consulting, and related services. By booking, onboarding, accessing an account, or using Opernox, you agree to these Terms, the Privacy Policy, the EULA, the Acceptable Use Policy, and any signed order form, statement of work, or services agreement.
2. Accounts and access
Anyone can create an Opernox account, and access to the product requires an active paid membership or a separate written agreement. We may deny, suspend, or terminate access where an account is not approved, payment is not current, access was created in error, or use creates legal, security, platform, or reputational risk.
3. Client responsibilities
- Provide accurate onboarding, billing, business, audience, and campaign information.
- Maintain all rights, permissions, consents, licenses, notices, and suppression lists needed for the workflows you request.
- Comply with applicable laws and rules, including advertising, privacy, intellectual property, anti-spam, telemarketing, platform, employment, industry, and consumer protection rules.
- Review campaigns, content, automations, targeting, sending limits, and outputs before and during use.
- Keep login credentials, API keys, browser profiles, proxies, third-party accounts, and team seats secure.
4. Outreach, automation, and platform compliance
Opernox may support outreach, scraping, enrichment, posting, CRM, booking, analytics, advertising, or social workflows. You are responsible for making sure those workflows are lawful, authorized, non-deceptive, and compliant with third-party platform terms and applicable communication rules.
Opernox may pause or refuse any workflow that appears abusive, unlawful, deceptive, unsafe, or likely to harm third parties, platform accounts, or Opernox infrastructure.
5. No guaranteed results
Opernox may provide infrastructure, software, automation, strategy, recommendations, analysis, or operational support. We do not guarantee revenue, leads, bookings, rankings, deliverability, platform account health, ad results, follower growth, or any specific business outcome.
6. Fees and payment
Fees, billing schedules, refunds, setup costs, ad spend, third-party tool costs, and usage charges are governed by the applicable order form, invoice, written agreement, or approved onboarding terms. Unless expressly stated otherwise in writing, fees are non-refundable once setup, provisioning, consulting, or service work has started.
7. Client data and content
You retain ownership of your content and client data. You grant Opernox the rights needed to host, process, transmit, display, modify, generate, and use that data to provide the services, secure the platform, comply with law, and improve service operations.
8. Opernox property
Opernox and its software, designs, systems, prompts, playbooks, automations, workflows, documentation, methods, interfaces, and infrastructure are owned by Opernox or its licensors. No rights are granted except the limited rights expressly stated in these Terms or the EULA.
9. Confidentiality
Each party may receive non-public business, technical, customer, pricing, strategy, credential, or operational information from the other party. The receiving party must use reasonable care to protect confidential information and use it only for the relationship unless disclosure is required by law.
10. Disclaimers
To the maximum extent permitted by law, Opernox is provided as is and as available. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and compatibility with every third-party platform or account.
11. Limitation of liability
To the maximum extent permitted by law, Opernox will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, lost goodwill, platform suspensions, account restrictions, or business interruption. Except for amounts that cannot legally be limited, Opernox total liability is limited to the amounts paid to Opernox by the client for the affected service during the three months before the event giving rise to the claim.
12. Indemnity
You will defend, indemnify, and hold harmless Opernox from claims, damages, penalties, losses, liabilities, costs, and expenses arising from your data, content, instructions, campaigns, connected accounts, breach of these Terms, violation of law, violation of third-party rights, or misuse of the services.
13. Changes
We may update these Terms from time to time. Updated Terms become effective when posted unless a later effective date is stated. Continued use after an update means acceptance of the updated Terms.
